Please read this Disclaimer carefully before using Penned. It sets out important limits on what our service does and does not provide.

1. No legal advice

Penned, operated by Earth Movers Network Inc., is a software tool for creating, sending, and electronically signing documents. We are not a law firm, and we do not provide legal advice, legal opinions, or recommendations about your specific situation. Any templates, prompts, fields, or sample text provided through the service are for general informational purposes only and should not be relied upon as legal advice.

2. No lawyer–client relationship

Using Penned does not create a lawyer–client relationship between you and Earth Movers Network Inc. or anyone associated with it. Communications through the service are not protected by solicitor–client privilege.

3. Your responsibility

You are solely responsible for the content, accuracy, completeness, and legality of any document you create, send, or sign using Penned. You are responsible for ensuring that a document meets your needs and complies with the laws that apply to you and your transaction.

4. Validity of electronic signatures

Electronic signatures are generally recognized in Canada under PIPEDA and provincial legislation such as Alberta's Electronic Transactions Act. However, some documents are excluded from electronic signing or carry special requirements — these can include wills, certain powers of attorney, certain trusts, negotiable instruments, and some land, court, or government filings. Requirements also vary by province and territory. Penned does not determine whether an electronic signature is valid or sufficient for your particular document or jurisdiction.

5. When you are unsure, seek independent advice

If you are uncertain whether an electronic signature is appropriate for your document, whether your document is enforceable, or how the law applies to your circumstances, you should seek independent legal advice before relying on the service. This is especially important for high-value transactions or documents with significant legal consequences.

6. No warranty

The service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that any document produced will achieve a particular legal result. Your use of the service is at your own risk.

7. Consult a lawyer

For anything beyond routine paperwork — or any document where the stakes or the law are unclear — consult a qualified lawyer licensed in your jurisdiction. A short conversation with a lawyer can prevent costly mistakes, and nothing in Penned is a substitute for that advice.

8. Limitation of liability

To the fullest extent permitted by law, Earth Movers Network Inc. will not be liable for any loss or damage arising from your reliance on the service or on any document created through it. This Disclaimer is subject to the limitation of liability set out in our Terms of Service.
