These Terms of Service govern your access to and use of Penned. Please read them carefully. By creating an account or using the service, you agree to these terms.
These Terms of Service (the "Terms") form a binding agreement between you and Earth Movers Network Inc. ("Penned," "we," "us," or "our"), located at 914 19th Avenue SE, Calgary, Alberta, Canada. If you do not agree to these Terms, do not use the service.
Penned is an online tool that lets you create, send, and electronically sign documents. The service is designed to make everyday paperwork — such as private vehicle sale documents — fast and straightforward. We may add, change, or remove features at any time.
Penned facilitates electronic signatures. In Canada, electronic signatures are generally recognized under PIPEDA and provincial legislation such as Alberta's Electronic Transactions Act. You are responsible for confirming that an electronic signature is appropriate and legally effective for your particular document and circumstances. Certain documents (for example, wills, certain trusts, and some land or court filings) may be excluded from electronic signing or subject to special requirements under applicable law. Penned does not determine whether your specific document qualifies.

We may suspend or terminate accounts that violate these Terms.
You retain all ownership rights in the documents and content you upload or create ("Your Content"). You grant us a limited licence to host, process, transmit, and display Your Content solely to provide the service. You represent that you have the rights necessary to upload Your Content and to grant this licence.
Some features may be free and others may require payment. Any fees, and whether they are one-time or recurring, will be disclosed before you incur them. You are responsible for applicable taxes. Unless otherwise stated or required by law, fees are non-refundable.
The Penned name, logo, software, and all related materials are owned by Earth Movers Network Inc. and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or other branding without our prior written consent.
Penned may rely on or link to third-party services (such as hosting, email delivery, and payment processing). We are not responsible for the content, policies, or practices of third parties, and your use of them may be subject to their own terms.
The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Penned does not provide legal advice, and use of the service is not a substitute for advice from a qualified lawyer. See our Disclaimer for details.
To the fullest extent permitted by law, Earth Movers Network Inc. and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of (or inability to use) the service. Our total aggregate liability for any claim relating to the service will not exceed the greater of the amount you paid us for the service in the twelve months before the claim, or CAD $100.
You agree to indemnify and hold harmless Earth Movers Network Inc. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, Your Content, or your breach of these Terms.
You may stop using Penned and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Calgary, Alberta for any dispute that is not otherwise resolved.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of Penned after changes take effect means you accept the revised Terms.
